Articles of Association for We Care About African Football 

1. Purpose

1.1. The purpose of "We Care About African Football," a nonprofit organization, is to collect used football equipment to support economically disadvantaged children in the local football club, Royal Sportive. Additionally, we aim to assist Klangon High School with equipment for the schoolyard, classroom furniture, school supplies, and similar items. We will also engage in collecting swimming equipment and funding swimming lessons in collaboration with Blue Fins Swim Club. Finally, we seek to improve the daily lives of the children at the Hope of Needy Orphanage in West Africa, Ghana, by providing financial support as needed.

1.2. "We Care About African Football" is committed to providing financial support for the mentioned purposes when necessary.

2. Authorized Signatories

The authorized signatories for We Care About African Football are the members of the board, who are entitled to enter into binding agreements on behalf of the association. These are:

  • Chairman - Rasmus Billing Birnbaum
  • Project Coordinator - Jan Henrik Bach
  • Financial Accounts - Mie An-Mari Hertzberg

3. Headquarters

3.1. The organization's headquarters is located in Aalborg, Denmark, and is represented by Rasmus B. Birnbaum, Jan Henrik Bach, and Mie An-Mari Hertzberg.

4. Members

4.1. The association consists of the following four members:

  • Rasmus Billing Birnbaum
  • Jan Henrik Bach
  • Mie An-Mari Hertzberg

5. Exclusion

5.1. Members who act against the purpose of "We Care About African Football" may be excluded from the organization. The decision on exclusion is made by Chairman Rasmus Billing Birnbaum.

6. Membership Fee

6.1. As "We Care About African Football" is a nonprofit organization, no membership fee is charged.

7. General Meeting

7.1. An annual general meeting of "We Care About African Football" is held, where all members participate. The general meeting is announced at least 14 days before the meeting and is called via email or Facebook.

7.2. All members of the association have voting rights. The agenda is set before the meeting, without a fixed program. Chairman Rasmus Billing Birnbaum can call for an extraordinary general meeting if deemed necessary, with notice sent via email or telephone.

8. Board

8.1. The board consists of the following members:

  • Chairman Rasmus Billing Birnbaum
  • Project Coordinator Jan Henrik Bach
  • Financial Accounts Mie An-Mari Hertzberg

8.2. All board members participate in general meetings.

9. Finances

9.1. "We Care About African Football's" annual accounts follow the calendar year. Since the organization is non-profit and conducts fundraising on a small scale, the accounts are expected to be brief.

9.2. All three board members are authorized to carry out transactions on behalf of "We Care About African Football."

10. Amendments to the Articles

10.1. Changes to the organization's articles require approval by two out of three votes before they take effect.

11. Dissolution of the Association

11.1. If the majority of members at two consecutive general meetings vote for the dissolution of the association, it will be carried out.

11.2. In the event of the association's dissolution, any remaining financial surplus will be donated to DBU's football schools in Denmark.
